By accessing or using our Platform, purchasing our templates or scripts, or ordering our web development and maintenance services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access our Platform or use our services.

Certain products and services may be subject to additional policies, including our Product License Policy, Service Policy, Support Policy, and Refund Policy. These policies form part of these Terms of Service and should be read together with them.

1. Description of Services

Softnio provides digital products, software solutions, templates, web services, support services, and related offerings. These may include website development, ecommerce solutions, website management services, software products, digital assets, licensing services, support platforms, and other products or services introduced in the future.

  • The Storefront: Providing premium digital products, including UI kits, web templates, dashboard engines, and scripts for direct purchase and instant download.
  • Productized Services: Providing fixed-price custom web design, WordPress/eCommerce development, and on-demand maintenance and hourly developer support.
  • Marketplace Showcase: Showcasing our legacy items available on third-party marketplaces like the Envato Market.

2. User Accounts & Dashboard Security

To download products or manage service projects, you must register for an account on our storefront website.

  • You agree to provide accurate, current, and complete information during registration.
  • You are entirely responsible for safeguarding your login credentials.
  • You agree to notify us immediately at [email protected] if you suspect any unauthorized use or security breach of your account.

3. Direct Digital Products & Licensing

When you purchase a template / web application, layout, or script directly from the Softnio Website:

  • Grant of License: You are granted a non-exclusive, non-transferable, and revocable license to use the downloaded asset based on the specific license tier selected at checkout (e.g., Single-Site vs. Developer License).
  • Restrictions: You may not redistribute, resell, sub-license, lease, or share our source files or templates as standalone assets on any other marketplace or public repository.
  • Unauthorized Distribution: Any unauthorized distribution or piracy of Softnio products will result in immediate termination of your software license, cancellation of product updates, and closure of your user account without a refund.

4. Third-Party Marketplaces & Envato Purchases

Some Softnio products may be distributed through third-party marketplaces, including Envato Market and other authorized platforms.

When purchasing a product through a third-party marketplace, your purchase is also subject to that marketplace’s terms, licensing rules, refund policies, and other applicable requirements. Customers are responsible for reviewing and complying with those policies.

  • Marketplace Purchases: If you purchase a Softnio item through Envato or any other external marketplace, you agree to comply with both that marketplace’s structural terms (such as the Envato Non-Exclusive Standard/Extended License) and Softnio’s platform terms.
  • Licensing & Redistribution: All redistribution restrictions, template usage limits, and intellectual property boundaries are dictated by the specific marketplace license you purchased under, alongside our internal global copyright rules.
  • Support Boundaries: Support terms, validation tokens, and support extension windows for marketplace items must comply with Envato’s official item support policy, though the support tickets themselves may be handled via our support center.

5. Productized Client Services

When you order our custom development, eCommerce setup, or maintenance services directly from us:

  • Client Dependencies: Our production timelines only begin once you provide all required project assets (such as layered Figma links, PSD files, imagery, and text content) via dashboard or email or support portal.
  • Project Approval: Once our team completes your service, we will provide a private staging link. You have a set review window (as specified in your service package) to request revisions before the project is marked complete and prepared for final production launch.
  • Hourly Support Blocks: Purchased blocks of hourly developer time must be used within 3 months from the purchase date, after which unused hours expire.

6. Payments, Fees, and Taxes

  • Billing Infrastructure: All payments for direct products and services are handled securely by our integrated third-party payment gateways. External marketplace purchases are handled entirely by the respective marketplace’s payment systems.
  • Pricing Adjustments: Softnio reserves the right to modify pricing for any templates or recurring service plans at any time without prior individual notice.
  • Payment Cancellation: Orders may be refused, suspended, or canceled if fraudulent activity, unauthorized transactions, or violations of Terms are suspected.
  • Vat & Taxes: You are responsible for any applicable regional VAT, digital consumption taxes, or duties levied at checkout based on your country of residence or the rules of the purchasing platform.
  • Refund: Refund eligibility is governed by our Refund Policy.

7. Intellectual Property

All content, products, trademarks, logos, software, documentation, designs, graphics, and materials provided by Softnio remain the property of Softnio or their respective owners unless otherwise stated. Abuse, harass, disrupt, automate, or excessively use our support systems, licensing systems, customer portals, or related services in a manner that negatively affects our operations or other users.

Purchasing a product or service does not transfer ownership of intellectual property rights. Use of digital products is subject to the applicable Product License and Usage Policy.

Prohibited Use

You agree not to:

  • Engage in activities that may harm Softnio, its customers, or its services.
  • Redistribute, resell, or misuse products in violation of applicable licenses.
  • Use our products or services for unlawful purposes.
  • Attempt unauthorized access to systems or accounts.
  • Interfere with website operations or security.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Softnio and its team will not be held liable for any indirect, incidental, or consequential damages resulting from your use of our templates, custom web builds, or maintenance services.

This includes, but is not limited to, third-party hosting server updates that break custom code, revenue losses from store downtime, or data loss. Our total liability shall not exceed the amount paid by the customer for the applicable product or service.

9. Disclaimer of Warranties

Products and services are provided on an “as is” and “as available” basis unless otherwise specified. While we strive to provide reliable products and services, we do not guarantee uninterrupted operation, error-free performance, or compatibility with every environment.

10. Third-Party Services

Our websites and services may integrate with third-party platforms, payment providers, analytics services, hosting providers, and other external tools. Softnio is not responsible for the content, policies, or practices of third-party services.

11. Termination of Use

We reserve the right to temporarily suspend or permanently terminate your access to our Platform, download tokens, license updates, and active service dashboards at our sole discretion, without notice, if we determine you have violated any part of these Terms.
